Welcome to BidsAI, a product of REZINIX TECHNOLOGIES PRIVATE LIMITED ("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our AI-powered bid qualification and analysis platform, including our website, applications, and related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.

BidsAI provides an AI-powered platform designed to assist businesses in analyzing, qualifying, and managing tender and bid documents. Our Services include:

• Document Analysis: AI-powered extraction and analysis of tender documents including technical, commercial, legal, and compliance requirements.
• Bid Qualification: Automated assessment of bid eligibility based on predefined criteria and historical data.
• Tender Search: Access to tender listings from various government and private portals across India.
• Synopsis Generation: Automated summary generation for quick understanding of tender requirements.
• Proposal Assistance: AI-assisted proposal drafting and document management.
• Analytics & Reporting: Comprehensive insights and reports on bid performance and market trends.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice to users.

To access certain features of our Services, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and complete.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account or any other breach of security.

You must be at least 18 years old and capable of entering into a legally binding agreement to use our Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, false, or in violation of these Terms.

4.1 Subscription Plans

BidsAI offers various subscription plans with different features and pricing. Details of available plans are provided on our pricing page. By subscribing to a plan, you agree to pay the applicable fees as described at the time of purchase.

4.2 Billing and Payment

• All fees are quoted and payable in Indian Rupees (INR) unless otherwise specified.
• Payments are processed through our authorized payment gateway partner, Razorpay.
• Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan.
• All fees are non-refundable except as expressly stated in our Refund Policy.
• You authorize us to charge your payment method for all fees due.

4.3 Price Changes

We reserve the right to modify our pricing at any time. Any price changes will be communicated to you in advance and will apply to subsequent billing cycles. Your continued use of the Services after a price change constitutes acceptance of the new pricing.

4.4 Taxes

All fees are exclusive of applicable taxes (including GST). You are responsible for paying any applicable taxes associated with your use of the Services.

5.1 Our Intellectual Property

All content, features, and functionality of the Services, including but not limited to software, algorithms, AI models, text, graphics, logos, icons, images, audio clips, and data compilations, are the exclusive property of REZINIX TECHNOLOGIES PRIVATE LIMITED or its licensors and are protected by intellectual property laws.

5.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not include:

• The right to resell, sublicense, or commercially exploit the Services.
• The right to copy, modify, distribute, or create derivative works.
• The right to reverse engineer, decompile, or disassemble any part of the Services.
• The right to remove or alter any proprietary notices or labels.

5.3 Your Content

You retain ownership of any documents, data, or other content you upload to our platform ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide license to use, process, and analyze such content solely for the purpose of providing the Services to you.

When using our Services, you agree NOT to:

• Violate any applicable laws, regulations, or third-party rights.
• Use the Services for any fraudulent, unlawful, or harmful purpose.
• Upload any content that is defamatory, obscene, or infringes on intellectual property rights.
• Attempt to gain unauthorized access to any part of the Services or related systems.
• Interfere with or disrupt the Services or servers or networks connected to the Services.
• Use automated systems or software to extract data from the Services without our consent.
• Share your account credentials with third parties or allow others to access your account.
• Use the Services to compete with or replicate our offerings.
• Misrepresent your identity or affiliation with any person or entity.

We reserve the right to investigate and take appropriate action against any violations, including removing content, suspending accounts, and reporting to law enforcement authorities.

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet or electronic storage is 100% secure. While we strive to use commercially acceptable means to protect your information, we cannot guarantee its absolute security.

You are responsible for maintaining the confidentiality of your account credentials and for any activities that occur under your account.

BidsAI uses Razorpay Software Private Limited ("Razorpay") as our payment gateway partner for processing all online payments. By making payments through our platform, you also agree to Razorpay's terms and conditions.

8.1 Payment Processing

• All payment transactions are processed securely through Razorpay's PCI-DSS compliant payment gateway.
• We accept various payment methods including credit cards, debit cards, net banking, UPI, and wallets as enabled by Razorpay.
• Payment information is transmitted directly to Razorpay and is not stored on our servers.
• Transaction processing is subject to Razorpay's terms, policies, and applicable regulations.

8.2 Payment Security

Razorpay employs industry-standard security measures including:

• 256-bit SSL encryption for all transactions.
• PCI-DSS Level 1 compliance for card data security.
• 3D Secure authentication for card payments where applicable.
• Fraud detection and prevention systems.

8.3 Chargebacks

In case of chargebacks initiated by your bank or card issuer:

• We reserve the right to suspend your account pending investigation.
• You agree to cooperate with any chargeback investigation.
• If a chargeback is found to be illegitimate, you may be liable for the disputed amount plus any applicable fees.
• Repeated chargebacks may result in permanent account termination.

8.4 Failed Transactions

In case of failed transactions:

• If money is debited but the transaction fails, the amount will be automatically refunded to your account within 5-7 business days.
• For any discrepancies, please contact our support team with your transaction details.
• We are not responsible for delays caused by your bank or payment provider.

9.1 Subscription Cancellation

• You may cancel your subscription at any time through your account settings.
• Upon cancellation, you will continue to have access to the Services until the end of your current billing period.
• No refunds will be provided for partial billing periods.

9.2 Refund Policy

• Refunds may be considered on a case-by-case basis for service-related issues within 7 days of purchase.
• No refunds will be issued for subscriptions after the initial 7-day period.
• Refund requests must be submitted to our support team with relevant details.
• Approved refunds will be processed within 7-10 business days to the original payment method.

9.3 Service Credits

In case of significant service disruptions caused by us, we may, at our discretion, provide service credits that can be applied to future billing periods. Service credits have no cash value and cannot be refunded.

10.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free.
• The results obtained from the Services will be accurate or reliable.
• Any errors in the Services will be corrected.
• The AI-generated analysis and recommendations are guaranteed to be correct or suitable for your specific needs.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REZINIX TECHNOLOGIES PRIVATE LIMITED AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages.
• Any loss of profits, revenue, data, or business opportunities.
• Any damages arising from your reliance on the Services or AI-generated content.
• Any damages exceeding the amount paid by you for the Services in the twelve (12) months preceding the claim.

10.3 AI Disclaimer

BidsAI uses artificial intelligence and machine learning technologies to provide analysis and recommendations. While we strive for accuracy, AI-generated content should be used as a tool to assist decision-making, not as a substitute for professional judgment. You acknowledge that:

• AI analysis may contain errors or inaccuracies.
• Final bid decisions should be made with human oversight and professional expertise.
• We are not responsible for business outcomes based on AI-generated recommendations.

11.1 Termination by You

You may terminate your account at any time by contacting our support team or through your account settings. Upon termination, your right to use the Services will immediately cease.

11.2 Termination by Us

We may suspend or terminate your account and access to the Services at any time, with or without cause, including but not limited to:

• Breach of these Terms.
• Non-payment of fees.
• Fraudulent or illegal activity.
• Upon request by law enforcement or government agencies.
• Discontinuation of the Services.

11.3 Effect of Termination

Upon termination:

• All licenses granted to you under these Terms will immediately terminate.
• You must cease all use of the Services.
• We may delete your account and all associated data after a reasonable retention period.
• Any provisions of these Terms that by their nature should survive termination shall survive.

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved as follows:

• Informal Resolution: We encourage you to contact us first to seek an informal resolution.
• Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India.
• Jurisdiction: The courts of Bangalore, Karnataka, India shall have exclusive jurisdiction over any disputes.

12.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
